These Terms and Conditions ("Terms") govern your use of the MyAgileCopilot Jira plugin (the "Plugin") provided by Basoli & Abad SL ("we," "us," or "our"). By using the Plugin, you agree to be bound by these Terms.

License and Use of the Plugin

Subject to these Terms and payment of the applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the Plugin for your own business or personal use. You may not use the Plugin for any other purpose without our prior written consent.

You may install the Plugin from the Jira Marketplace and activate the Plugin by subscribing to our service at www.myagilecopilot.com. You are responsible for ensuring that your Jira account meets the Plugin's system requirements, and for paying all fees associated with your subscription.

Your subscription to the Plugin will continue until it is terminated by you or us in accordance with these Terms. If you decide to terminate your subscription, you must do so through our website, and your subscription will terminate at the end of the current subscription period.

Restrictions on Use

You may not:

• Reverse engineer, decompile, or disassemble the Plugin;

• Modify, adapt, or create derivative works of the Plugin;

• Distribute, sublicense, or transfer the Plugin to any third party;

• Use the Plugin for any unlawful or unauthorized purpose;

• Use the Plugin to infringe upon any intellectual property rights or other rights of any third party; or

• Remove, obscure, or alter any copyright, trademark, or other proprietary notices on the Plugin.

Intellectual Property Rights

We retain all right, title, and interest in and to the Plugin, including all intellectual property rights. You acknowledge that you have no right to use our trademarks, service marks, or logos without our prior written consent.

Feedback

If you provide us with any suggestions, comments, or other feedback regarding the Plugin ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback throughout the world in any media.

Disclaimer of Warranties

The Plugin is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Plugin will meet your requirements or that the operation of the Plugin will be uninterrupted or error-free.

Limitation of Liability

In no event shall we be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Plugin, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if we have been advised of the possibility of such damages.

Limitation of Our Liability for ChatGPT's Data Management

You acknowledge that the Plugin integrates with ChatGPT to enhance its functionality, and that ChatGPT may process and store data that you provide to the Plugin. You understand and agree that we do not have control over ChatGPT's data management practices and are not responsible for any loss or damages that may arise from ChatGPT's processing or storage of your data. You agree to look solely to ChatGPT with respect to any issues or concerns you may have regarding their data management practices.

By using this plugin, you agree that the information from my Jira projects (under the subdomain indicated in the Atlassian host domain field) and their information can be sent to ChatGPT, a service provided by OpenAI. You understand that your information may be used and processed by ChatGPT and OpenAI to improve the quality of the service and/or to provide sufficient context to the AI to automatically generate content in Jira and analyze it. You also understand that your information will be handled in accordance with the privacy policies of ChatGPT and OpenAI and that MyAgileCopilot and its creators will not be responsible for how OpenAI uses this information and about the contents are created.  

By using this plugin, you agree that MyAgileCopilot and its creators will not be liable for any damages, losses, or expenses arising from the use or inability to use this plugin. We will not be responsible for any errors or omissions in the plugin or any content generated by the plugin. Additionally, we make no representations or warranties regarding the accuracy or reliability of the plugin or any content generated by the plugin. You use this plugin at your own risk, and we recommend that you back up your data before using the plugin.

Indemnification

You agree to indemnify, defend, and hold us harmless from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Plugin or any breach of these Terms.

Termination

We may terminate your subscription and these Terms at any time for any reason or no reason, including, but not limited to, if we believe that you have violated these Terms. Upon termination, you must cease all use of the Plugin.

Termination for Misuse

We reserve the right to terminate your subscription and access to the Plugin immediately, without notice, if we determine in our sole discretion that you have engaged in any misuse of the Plugin or any violation of these Terms and Conditions. Misuse of the Plugin includes, but is not limited to, using the Plugin in a manner that violates applicable laws or regulations, infringes upon the rights of third parties, or interferes with the proper functioning of the Plugin. You acknowledge that we shall have no obligation to provide any compensation, reimbursement, or damages in connection with such termination.

Termination by Us Without Liability

We reserve the right to terminate the Plugin service, in whole or in part, at any time and for any reason without liability to you. In the event of termination, we may provide you with notice through the Plugin or via email to the email address associated with your account. You acknowledge that we shall have no obligation to provide any compensation, reimbursement, or damages in connection with such termination.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain without regard to its.
